Terms of Service

These Terms of Service (the “Terms”) govern your use of the OpenSpender website, applications, APIs, and related software (together, the “Service”), operated by Trigger Labs Inc. (the “Company,” “we,” “us,” or “our”). By using the Service you agree to these Terms. If you do not agree, do not use the Service.

1. What the Service is — and is not

The Service is software. It provides an interface for creating and using self-custodial digital wallets (through our infrastructure provider, Privy), for granting and revoking delegated signing authority, for creating budget-limited access credentials (“allowance tokens”), and for routing requests to third-party machine-payable services that use open payment protocols such as x402 and MPP.

The Company is not a bank, money transmitter, money services business, exchange, or custodian. Wallets created through the Service are self-custodial: the Company does not take possession or control of your deposited funds, cannot freeze your balance, and cannot recover keys it never holds. Where the Service routes payments on protocols denominated in assets you do not hold, the Company may act as a paying agent using its own operating funds and charge your wallet the equivalent value of the third-party price, at cost, under authority you have expressly delegated and may revoke at any time.

2. Eligibility

You must be at least 18 years old and legally able to enter these Terms. You may not use the Service if doing so is prohibited where you live, or if you are subject to sanctions administered by the United States or your jurisdiction.

3. Your account and credentials

Authentication is provided by Privy using your email address. You are responsible for maintaining control of that email account. Allowance tokens are bearer credentials: anything holding a token can spend within the budget attached to it. Treat tokens like money, store them in configuration rather than in prompts or shared documents, and delete any token you believe is exposed. Delegated signing authority can be revoked on the wallet page at any time; revocation takes effect immediately for new payments.

4. Payments and irreversibility

Payments made through the Service settle on public blockchains and are irreversible once confirmed. Budgets you set (per-request, daily, lifetime, per-session, host restrictions) are enforcement limits applied before a payment is signed; they are not a guarantee that a third-party service will deliver value. Disputes about a third-party service’s output are between you and that provider. The Company currently charges no fee of its own on payments; third-party providers, payment networks, and onramp partners charge their own fees under their own terms.

5. Third-party services

The Service depends on third parties, including Privy (wallets and authentication), fiat onramp providers (card and bank purchases, including their identity verification), blockchain networks, and the independent providers whose machine-payable endpoints you choose to call. Their services are governed by their own terms and privacy policies. The Company does not control third-party endpoints, their prices, or their output, and listing or routing to a provider is not an endorsement.

6. Risks you accept

Digital assets and experimental software involve significant risk, including: total loss of funds through your own error or compromised credentials; stablecoins deviating from their peg; network congestion, forks, or failures; bugs in the Service or in the open protocols it speaks; and third-party services returning poor or no value after payment. Portions of the Service are explicitly experimental and labeled as such. You use the Service at your own risk.

7. Prohibited use

You may not use the Service to violate law, evade sanctions, launder money, finance terrorism, infringe others’ rights, probe or disrupt the Service’s security, resell access in a way that misrepresents who operates it, or interact with third-party services in breach of their terms.

8. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. THE COMPANY DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR DIGITAL ASSETS, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE. THE COMPANY’S TOTAL LIABILITY FOR ALL CLAIMS WILL NOT EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS (US$100) OR THE FEES YOU PAID THE COMPANY IN THE TWELVE MONTHS BEFORE THE CLAIM AROSE.

10. Indemnification

You will indemnify and hold the Company harmless from claims, damages, and expenses (including reasonable attorneys’ fees) arising from your use of the Service, your violation of these Terms, or your violation of any law or third-party right.

11. Termination

You may stop using the Service at any time; because wallets are self-custodial, your funds remain yours and can be exported or transferred out regardless. The Company may suspend or terminate access to the Service (including allowance-token processing) for violation of these Terms or to protect the Service, and will not thereby take control of your wallet.

12. Changes

We may update these Terms. Material changes will be posted on this page with an updated date. Continued use after changes take effect constitutes acceptance.

13. Governing law

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-laws rules. Exclusive venue for disputes lies in the state and federal courts located in Delaware, and each party consents to their jurisdiction.
